1. Introduction

Thx2 ("Thx2," "we," "our," or "us") is a service of Wikippl, Inc. These Terms of Service ("Terms") govern your access to and use of Thx2 websites, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Account Registration

You must be at least 13 years old (or older if required by local law) and capable of forming a binding contract. You agree to provide accurate information, keep your credentials secure, and are responsible for all activities under your account.

We do not use designs that subvert or impair choice. This includes making it reasonably easy to cancel services or adjust settings. We do not require chats, calls, or surveys to cancel. We send any renewal reminders fairly in advance.

3. Messaging Consent and Communications

By providing your mobile number and an explicit opt-in, you consent to receive SMS messages for: (a) account verification via two‑factor authentication (2FA); (b) service updates and transactional notices; (c) campaign messages.

Opt‑Out & Help: Reply "STOP" to cancel or "HELP" for assistance. Message frequency varies; standard message and data rates may apply.

Tracking & Cookies: We use only necessary cookies and first-party analytics for service functionality. Non-essential tracking technologies (such as for marketing or personalization) will only be activated after you provide clear, informed consent, in compliance with applicable laws.

Mobile Data Privacy: No mobile opt‑in data or consent will be shared with third parties or affiliates for their marketing purposes. Your phone number and message content are shared only with our messaging provider (Twilio) and participating carriers strictly to deliver messages you have consented to receive.

For users in jurisdictions with specific privacy regulations (including but not limited to the EU/UK under GDPR and California under CCPA/CPRA), you may request access to, correction of, or deletion of your personal data by contacting support@thx2.co. We do not sell or share your personal data for targeted advertising purposes.

4. User‑Generated Content

4.1 Content Rights

You retain ownership of content you submit, but grant Thx2 a worldwide, non‑exclusive, royalty‑free, sublicensable licence to use, host, store, reproduce, modify, distribute, publicly perform, and display that content to operate and improve the Services.

4.2 Content Guidelines

You may not post content that: (a) violates law; (b) contains hate, harassment, or personal attacks; (c) infringes intellectual‑property or privacy rights; (d) includes spam, malware, or unauthorised advertising. We may remove content or suspend accounts at our discretion.

5. Acceptable Use

You agree not to: (a) use the Services in a manner that could disable or impair them; (b) use automated means to scrape or interact; (c) misrepresent your identity; (d) interfere with or disrupt the Services or their security.

6. Paid Features and Sponsorships

Optional paid services, including sponsorships, may be offered. Fees will be disclosed and additional terms may apply. You agree to pay all charges in accordance with posted pricing and billing policies. Thx2 may change pricing or features at any time.

7. Intellectual Property

Except for User‑Generated Content, all content and software on the Services are the property of Wikippl, Inc. or its licensors and are protected by applicable laws. You may not copy, modify, distribute, sell, or lease any part of the Services without written consent.

8. Termination and Suspension

We may suspend or terminate your access at any time for violation of these Terms or law. You may delete your account at any time. Upon termination, all rights granted to you cease immediately.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Thx2 does not guarantee uninterrupted, secure, or error‑free operation and disclaims all warranties including merchantability, fitness for a particular purpose, and non‑infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Thx2 and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. In no event shall total liability exceed one hundred U.S. dollars (USD 100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Wikippl, Inc., its affiliates, officers, directors, employees, and agents from any claims or losses arising out of: (a) your use of the Services; (b) your User‑Generated Content; (c) your violation of these Terms or applicable law.

12. Governing Law

These Terms are governed by the laws of the State of New York, excluding its conflict‑of‑law rules. Any dispute shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and providing notice via email or in‑app. Continued use of the Services after changes constitutes acceptance of the revised Terms.
